Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Botyard platform ("the Service"), operated by Kosmo Labs VCC (Космо Лабс), a variable-capital company registered in Bulgaria under UIC 208421213, VAT BG208421213, with registered address at ul. Marin Drinov 7, 4017 Plovdiv, Bulgaria ("we", "us", or "the Company").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Bot" — an AI agent instance deployed on the Botyard platform from a template.
  • "Bot Slot" — a subscription entitlement that allows you to deploy and run one Bot.
  • "Template" — a pre-configured AI agent blueprint available in the Botyard catalogue.
  • "Plan" — the subscription tier (Starter, Pro, or Enterprise) that determines the capabilities of a Bot Slot.
  • "User" or "you" — any individual or entity that creates an account and uses the Service.
  • "Third-Party Keys" — API keys, tokens, or credentials you provide to configure your Bots (e.g., LLM provider keys, messaging platform tokens).

2. Eligibility

You must be at least 16 years old and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Account Registration

  • You register by providing a valid email address and authenticating via a magic link.
  • You are responsible for maintaining the security of the email account associated with your Botyard account.
  • You must not share your account or magic-link tokens with third parties.
  • You must provide accurate and current information. We reserve the right to suspend accounts with fraudulent or misleading information.

4. The Service

4.1 What We Provide

Botyard is a platform that allows you to:

  • Browse and select from a catalogue of AI agent templates.
  • Purchase Bot Slots via subscription plans.
  • Deploy, configure, and manage AI Bots connected to messaging platforms (Slack, Discord, Telegram) and integrations (Zapier).
  • Provide your own Third-Party Keys to power your Bots.

4.2 Bot Behaviour and Output

Bots are powered by third-party large language models (LLMs) and other AI services configured by you. We do not control, guarantee, or take responsibility for the output generated by your Bots. AI-generated content may be inaccurate, incomplete, or inappropriate. You are solely responsible for:

  • Reviewing and verifying Bot outputs before relying on them.
  • Ensuring your Bots comply with applicable laws and the terms of service of any third-party platforms they connect to.
  • Any consequences arising from the actions or outputs of your Bots.

4.3 Third-Party Keys and Services

You are responsible for obtaining, managing, and paying for any Third-Party Keys you provide. We store these keys securely on our infrastructure to operate your Bots, but we are not a party to your agreements with third-party providers. Charges incurred on your third-party accounts (e.g., LLM API usage) are your sole responsibility.

5. Subscriptions and Billing

5.1 Plans and Pricing

We offer monthly and annual subscription plans. Current pricing is displayed on the Botyard website. We reserve the right to change pricing with 30 days' notice to existing subscribers.

5.2 Payment

  • All payments are processed by Stripe, Inc.
  • By subscribing, you authorise us to charge the payment method on file through Stripe on a recurring basis.
  • Prices are displayed in USD. Applicable taxes (VAT, sales tax) are calculated and collected at checkout based on your billing address.

5.3 Cancellation

  • You may cancel a Bot Slot subscription at any time through the billing dashboard or Stripe Customer Portal.
  • Cancellation takes effect at the end of the current billing period. You retain access to the Bot Slot until that date.
  • Upon cancellation, your Bot will be stopped and its configuration retained for 30 days, after which it may be permanently deleted.

5.4 Refunds

We do not provide prorated refunds for partial billing periods. If you believe you have been charged in error, contact us at billing@botyard.sh within 14 days of the charge.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Deploy Bots that generate, distribute, or facilitate illegal content, including but not limited to: malware, phishing, spam, harassment, hate speech, child exploitation material, or content that infringes intellectual property rights.
  • Attempt to gain unauthorised access to our systems, other users' accounts, or the infrastructure underlying the Service.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Overload, disrupt, or interfere with the Service or its infrastructure.
  • Resell, sublicense, or redistribute access to the Service without our written consent.
  • Use the Service to build a competing product or service.
  • Circumvent any rate limits, security measures, or access controls.

We reserve the right to suspend or terminate your account immediately if we reasonably determine that you have violated this section.

7. Intellectual Property

7.1 Our IP

The Service, including its design, code, templates, documentation, and branding, is owned by Kosmo Labs VCC and is protected by copyright and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.

7.2 Your Content

You retain ownership of the data and configurations you provide to the Service. By using the Service, you grant us a limited licence to process your data solely to operate and improve the Service.

7.3 Bot Outputs

Ownership of content generated by your Bots is subject to the terms of the underlying AI model providers and applicable law. We make no claim of ownership over Bot-generated content.

8. Availability and Support

  • We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis.
  • We may perform scheduled maintenance with reasonable advance notice.
  • Support is provided via email at support@botyard.sh.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.
  • Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim.
  • We are not liable for any actions, outputs, or consequences of Bots deployed by you, including any damages caused to you or third parties.
  • We are not liable for any charges, fees, or costs incurred on your third-party accounts (e.g., LLM API providers) as a result of Bot activity.

Nothing in these Terms limits our liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law, including mandatory EU consumer protection laws.

10. Indemnification

You agree to indemnify and hold harmless Kosmo Labs VCC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of:

  • Your use of the Service or violation of these Terms.
  • Content generated by or actions of your Bots.
  • Your violation of any third-party rights or applicable laws.

11. Suspension and Termination

  • We may suspend or terminate your access to the Service at any time for cause, including violation of these Terms or non-payment.
  • You may terminate your account by cancelling all active subscriptions and contacting us at support@botyard.sh.
  • Upon termination, your Bots will be stopped and your data retained for 30 days before permanent deletion, except where longer retention is required by law.

12. Privacy

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.

13. Modifications to the Terms

We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and cancel your subscriptions.

14. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Bulgaria, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be submitted to the exclusive jurisdiction of the competent courts in Plovdiv, Bulgaria.

If you are a consumer in the EU, you retain any mandatory rights granted by the consumer protection laws of your Member State of residence. You may also use the EU Online Dispute Resolution platform.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kosmo Labs VCC regarding the Service and supersede any prior agreements.
